1. Acceptance of Terms
These Terms of Use ("Terms") govern your access to and use of the platform operated by Payonyx (the "Platform"). By creating an account, accessing, or using the Platform or any services provided through it, you confirm that you have read, understood, and agreed to be bound by these Terms.
By using the Platform, you also confirm that:
- you have the legal capacity to enter into binding agreements;
- you will comply with all applicable laws and regulations;
- you will use the Platform only for lawful purposes.
2. Description of the Platform
The Platform is a technology service that enables users to access and manage virtual payment card functionality through a digital interface. The Platform provides tools and infrastructure that allow users to create and manage virtual payment cards, view card balances and transaction history, manage card settings and usage limits, and perform other card-related operations.
Virtual cards accessible through the Platform are issued and processed by licensed financial institutions or authorized payment partners. The Provider does not act as a bank, financial institution, or card issuer and does not provide banking services. The Provider supplies the technological infrastructure that allows users to interact with card issuing partners, payment networks, and payment processing systems.
3. Eligibility and Account Registration
To use the Platform, you must meet the following eligibility requirements:
- you must be at least eighteen (18) years old or the legal age required to enter into binding agreements in your jurisdiction;
- you must have the legal capacity to enter into contracts;
- you must not be located in, organized under the laws of, or a resident of any jurisdiction subject to international sanctions;
- you must not be listed on any sanctions lists maintained by international authorities.
When registering an account, you agree to provide accurate and complete information, maintain and promptly update your information if it changes, keep your login credentials confidential and secure, and accept full responsibility for all activities performed through your account.
4. Account Security
You are responsible for maintaining the security and confidentiality of your account credentials. You agree not to share your account credentials with any third party, allow any other person to access or use your account, or use another person's account without authorization. All actions performed through your account are deemed to be performed by you.
5. Use of Virtual Cards
Virtual cards available through the Platform are issued and processed by licensed financial institutions or authorized payment partners. Users may use virtual cards for lawful payment transactions where such cards are accepted by the relevant payment networks.
The use of virtual cards may be subject to transaction limits, balance limits, geographic restrictions, merchant category restrictions, and compliance or risk-based controls imposed by issuing partners or payment networks.
6. Fees and Payments
Certain features of the Platform, including the creation and use of virtual cards, are subject to fees. Applicable fees include card issuance fees, top-up/funding fees, and other service-related charges. The applicable fees will be displayed within the Platform interface before the relevant transaction is performed.
The Provider reserves the right to modify, introduce, or remove fees from time to time. Users are responsible for any applicable taxes, duties, or charges imposed by governmental authorities.
7. Prohibited Activities
Users must not use the Platform or any virtual cards for any unlawful, fraudulent, or prohibited activities, including but not limited to:
- money laundering, terrorist financing, or any activity that violates AML/CTF regulations;
- transactions involving persons, entities, or jurisdictions subject to international sanctions;
- fraudulent, deceptive, or unauthorized transactions;
- the purchase, sale, or distribution of illegal goods or services;
- attempting to bypass security measures or restrictions implemented by the Platform;
- interfering with the operation, security, or integrity of the Platform.
8. Compliance and AML Requirements
The Provider is committed to complying with applicable laws relating to anti-money laundering (AML), counter-terrorist financing (CTF), sanctions compliance, and financial crime prevention. Users agree that the Provider may conduct identity verification, perform sanctions screening and transaction monitoring, and restrict, suspend, or terminate access if compliance concerns arise.
9. Risk Disclosure
By using the Platform, users acknowledge that certain risks may arise from the use of digital platforms and payment systems, including temporary interruptions, delays or failures of transactions, unauthorized access, cyberattacks, and regulatory changes. The Provider does not guarantee uninterrupted or error-free operation.
10. Suspension and Termination
The Provider reserves the right to suspend, restrict, or terminate a user's access if the user has violated these Terms, engaged in unlawful activities, poses a compliance or security risk, or has provided false information. Users may stop using the Platform at any time.
11. Limitation of Liability
To the maximum extent permitted by applicable law, the Provider shall not be liable for any direct or indirect losses, damages, or expenses arising from the use of, or inability to use, the Platform. The Platform and its services are provided on an "as is" and "as available" basis, without warranties of any kind.
12. Intellectual Property
All intellectual property rights in the Platform, including software, design, interfaces, graphics, trademarks, and logos, are owned by or licensed to the Provider. Users are granted a limited, non-exclusive, non-transferable, and revocable right to access and use the Platform solely for its intended purposes.
13. Third-Party Services
Certain services available through the Platform rely on third-party providers, including card issuing institutions, payment networks, and payment processors. These third-party providers operate independently and may have their own terms and policies. The Provider is not responsible for the services of such third-party providers.
14. Changes to Terms
The Provider reserves the right to modify or update these Terms from time to time. Continued use of the Platform after updated Terms have been published constitutes acceptance of the revised Terms. If a user does not agree with any updated Terms, the user must stop using the Platform.
15. Governing Law
These Terms shall be governed by and construed in accordance with applicable international laws. Any dispute arising out of or relating to these Terms will be resolved through good faith negotiations. If a resolution cannot be reached, the dispute shall be escalated for mediation or arbitration.
16. Service Disclaimer
The Platform provides technological tools that enable access to certain payment and card-related functionality. The Provider is not a bank, financial institution, payment service provider, or card issuer. Nothing on the Platform should be interpreted as financial advice, investment advice, or a recommendation to engage in any financial transaction.
